Introduction

Welcome to Ping (“the App”), a personal safety timer and check-in application operated by Ping Safety (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the App, including any content, features, and services offered through the App.

By creating an account or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Eligibility

You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

2.1 Account Creation

To use the App, you must create an account with a valid email address and password. You agree to provide accurate and complete information during registration.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

2.3 Account Deletion

You may delete your account at any time through the App's Settings screen. Account deletion will remove your user profile from our database. Refer to our Privacy Policy for details on data retention after account deletion.

3. Description of the Service

Ping is a personal safety application that provides:

• Safety Timers: Set a countdown timer. If you do not check in before the timer expires, Ping sends safety alerts to your designated emergency contacts.
• Daily Check-Ins: Schedule recurring check-ins at a frequency you choose (every 1–7 days). If you miss a check-in deadline, Ping sends safety alerts to your designated emergency contacts.
• Emergency Contacts: Add and manage contacts who will receive safety alerts via push notification, SMS, and/or email.
• Contact Pairing: Pair with other Ping users for bidirectional safety monitoring.
• Location Sharing in Alerts: When you have an active timer or check-in, Ping collects your location and includes it in safety alerts so your contacts can find you.

4. Important Safety Disclaimers

4.1 Not an Emergency Service

4.2 No Guarantee of Alert Delivery

While we make commercially reasonable efforts to deliver safety alerts promptly, we cannot guarantee that alerts will be delivered successfully or in a timely manner. Alert delivery depends on factors outside our control, including but not limited to:

• Internet and cellular network availability
• SMS delivery by third-party carriers
• Email delivery and spam filtering
• Push notification delivery by Apple, Google, and device settings
• Device battery life and power state
• Background app restrictions imposed by the operating system
• Third-party service provider availability (Twilio, Resend, Firebase, Expo)

4.3 No Guarantee of Location Accuracy

Location data included in safety alerts is provided on an “as-is” basis. GPS accuracy varies based on environmental factors, device hardware, and operating system behavior. We do not guarantee the accuracy, completeness, or timeliness of location information.

4.4 User Responsibility

You are solely responsible for:

• Ensuring your emergency contacts' information is accurate and up to date
• Informing your emergency contacts that you have added them to Ping
• Checking in before your timer expires or by your check-in deadline
• Maintaining a charged device with network connectivity while a timer or check-in is active
• Having a backup safety plan that does not rely solely on Ping

5. Subscription Plans and Payments

5.1 Subscription Tiers

5.2 Payment Processing

Subscriptions are purchased as in-app purchases through the Apple App Store or Google Play Store. All payment processing is handled by Apple or Google, respectively. We do not collect, store, or have access to your payment card information.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can manage your subscription and cancel auto-renewal through your device's subscription settings:

• iOS: Settings > Apple ID > Subscriptions
• Android: Google Play Store > Menu > Subscriptions

5.4 Refunds

Refund requests are handled by Apple or Google in accordance with their respective refund policies. We do not process refunds directly. Contact Apple Support or Google Play Support for refund requests.

5.5 Price Changes

We reserve the right to change subscription pricing. Any price changes will take effect at the start of your next billing period after the change.

5.6 Free Tier

The free tier is available indefinitely with the feature limitations described above. We reserve the right to modify free tier features with reasonable notice.

6. SMS Messaging Terms

6.1 Program Name

Ping Safety Alerts

6.2 Program Description

Ping Safety Alerts sends SMS text messages to designated emergency contacts when a Ping user's safety timer expires or a daily check-in is missed. Messages contain the user's name, a safety alert notification, and (if available) a link to their last known location.

6.3 Message Frequency

Message frequency varies. SMS messages are sent only when a safety event occurs. The number of messages depends entirely on the Ping user's timer and check-in activity.

6.4 Message and Data Rates

Message and data rates may apply. Standard messaging rates from your wireless carrier apply to all SMS messages sent and received.

6.5 Opt-Out Instructions

To stop receiving SMS messages from Ping, reply STOP to any message. You may also text STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to opt out. After opting out, you will receive a single confirmation message and no further SMS messages from Ping. To resume receiving messages, reply START.

6.7 Supported Carriers

Ping uses Twilio for SMS delivery, which supports all major US carriers and many international carriers.

6.8 SMS Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent will not be shared with any third parties. See our Privacy Policy for full details.

7. Emergency Contact Consent

7.1 Adding Contacts

When you add an emergency contact to Ping, you represent and warrant that:

• You have a reasonable basis to share their contact information for personal safety purposes
• The contact information you provide is accurate
• You have informed the contact that they may receive safety alert messages from Ping

7.2 Contact Rights

Emergency contacts who receive messages from Ping have the right to:

• Opt out of SMS messages at any time by replying STOP
• Request removal of their information by contacting [email protected]
• Ask the Ping user who added them to remove them from their contact list

7.3 Contact Pairing

When pairing with another Ping user via invite code, both users are added to each other's contact lists. Either user may remove the paired contact at any time.

8. Location Data

8.1 Location Collection

When you have an active timer or daily check-in, Ping collects your precise GPS location in the foreground and background. Location collection stops when all timers and check-ins are inactive.

8.2 Location Sharing

Your location is shared with your emergency contacts only when a safety alert is triggered (timer expiration or missed check-in). Location is not shared at any other time.

8.3 Revoking Location Permission

You may revoke location permissions at any time through your device settings. Without location permission, Ping will still send safety alerts, but alerts will not include your location.

9. Acceptable Use

You agree NOT to use the App to:

• Send false, fraudulent, or deceptive safety alerts
• Harass, stalk, threaten, or intimidate any person
• Add emergency contacts for the purpose of spamming or sending unwanted messages
• Impersonate another person or misrepresent your identity
• Attempt to access another user's account or data
• Interfere with or disrupt the App's infrastructure or services
• Reverse engineer, decompile, or disassemble the App
• Use the App for any illegal purpose or in violation of any applicable law
• Use automated scripts, bots, or other means to interact with the App
• Circumvent subscription tier limits or other access controls
• Exploit the invite or pairing system for unauthorized purposes

We reserve the right to suspend or terminate your account for violations of these Terms.

10. Intellectual Property

10.1 Our Property

The App, including its design, code, features, content, logos, and trademarks, is owned by Ping Safety and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the App without our prior written consent.

10.2 Your Content

You retain ownership of any personal information and content you provide to the App. By using the App, you grant us a limited license to use this information solely to operate and provide the App's services.

11. Limitation of Liability

11.1 Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including but not limited to: warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties that the App will be uninterrupted, error-free, secure, or free of harmful components; warranties regarding the accuracy, reliability, or completeness of alert delivery, location data, or any other App functionality.

11.2 Limitation of Damages

To the maximum extent permitted by applicable law, Ping Safety shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or in connection with: your use of or inability to use the App; any failure or delay in alert delivery; inaccurate or unavailable location data; unauthorized access to your account; any actions or inactions of your emergency contacts; any reliance on the App as your sole safety measure.

Our total aggregate liability for all claims arising out of or relating to these Terms or the App shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty US dollars ($50.00), whichever is greater.

11.3 Acknowledgment

You acknowledge that Ping is a supplementary safety tool and not a replacement for emergency services, personal judgment, or other safety measures. You use the App at your own risk.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ping Safety and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or relating to:

• Your use of the App
• Your violation of these Terms
• Your violation of any third party's rights, including your emergency contacts' rights
• Any false or misleading information you provide
• Any safety alerts triggered by your use of the App

13. Termination

13.1 By You

You may stop using the App and delete your account at any time through the Settings screen.

13.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Abusive or fraudulent use of the App
• Failure to pay subscription fees
• Extended period of inactivity

13.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. We may delete your account data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive.

14. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the App.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms within the App
• Updating the “Last Updated” date at the top of this document
• Sending a push notification or email for significant changes, where appropriate

Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

16.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation by contacting us at [email protected]. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in a court of competent jurisdiction.

16.3 Class Action Waiver

To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ping Safety regarding your use of the App and supersede any prior agreements.
